Terms of service

Last updated: September 20, 2026

1. Who we are and what you are agreeing to

CapitalPrism (“the Service”) is provided by Geometri Technologies, a company established in the Kingdom of Bahrain (“Geometri”, “we”, “us”). These terms govern access to and use of the Service by the organisation that subscribes to it or licenses it (“the Customer”) and by every person the Customer authorises to use it (“Users”, “you”). By creating an account, accepting an invitation, or using the Service, you agree to these terms on your own behalf and, where you act for an organisation, on its behalf.

Where a signed order form, licence agreement or hosting agreement exists between Geometri and the Customer, that document prevails over these terms to the extent they conflict.

2. The Service

CapitalPrism is a private-capital workspace: a system of record for holdings, valuations, cash, evidence, scenarios, approvals and settlements, with an audit trail. It is delivered either as a cloud-hosted service operated by Geometri or as software installed in an environment the Customer operates (“customer-hosted”).

The public preview runs on fictional data and has no live connection to any ERP, bank, custodian or market data source. Nothing shown in the preview is a statement about any real company, fund or portfolio.

The Service records decisions; it does not make or execute them. In particular, the Service never transfers funds, never instructs a bank or custodian, and never places an order. A settlement recorded in the Service is a record of an event that took place outside it.

3. No investment, legal or tax advice

Figures, alerts, scenario results, mandate checks, analyst answers and memo drafts produced by the Service are derived from the records the Customer’s own users have entered or accepted. They are tools for the Customer’s own review and do not constitute investment advice, a recommendation, a valuation opinion, or legal, tax or accounting advice. Geometri is not a licensed investment adviser, broker, custodian or auditor in any jurisdiction. The Customer remains solely responsible for every investment decision and for obtaining professional advice where appropriate.

4. Accounts, organisations and access

  • The Customer’s owner accounts control who is invited, with which role, and when access is revoked.
  • Each User must keep credentials confidential, enable multi-factor authentication where the organisation’s policy requires it, and tell the Customer’s owner promptly if an account may have been compromised.
  • An invitation is personal to the email address it was issued to and may be used once.
  • The Customer is responsible for the acts and omissions of its Users, and for ensuring they are entitled to see the data the Customer places in the Service.
  • Geometri’s platform operators have no access to Customer records except through a time-boxed support grant that a Customer owner approves and may revoke, every read under which is written to the Customer’s audit trail.

5. Acceptable use

You must not, and must not permit anyone to:

  • use the Service to break any law, including sanctions, anti-money-laundering, market-abuse or data-protection law;
  • upload material you have no right to upload, or that contains malicious code;
  • attempt to gain access to another organisation’s data, to Geometri’s systems beyond your authorisation, or to circumvent rate limits, policy gates or review controls;
  • use the Service to provide a bureau or hosting service to third parties without a written agreement with Geometri;
  • reverse engineer the Service except to the extent the law prohibits this restriction.

6. Customer data

All records, documents and figures the Customer or its Users place in the Service (“Customer Data”) remain the Customer’s property. Geometri processes Customer Data only to provide, secure, support and improve the Service as described in the Privacy notice, and on the Customer’s documented instructions.

Documents submitted by portfolio companies through a reporting link are Customer Data of the organisation that issued the link. The company that submits a document receives a receipt with the document’s fingerprint and is not given access to the Customer’s workspace.

The Customer may export its data at any time using the export tooling in the Service. On termination Geometri provides an offboarding export on request and then deletes Customer Data from the hosted service within the retention period stated in the Privacy notice, except where the law requires longer retention.

7. External providers

External AI and search providers are off by default. If a Customer owner enables a provider, the Customer chooses to send the relevant records to that provider under the provider’s own terms; the Service records every enablement in the Customer’s policy registry and audit trail. Geometri is not responsible for a provider’s output, availability or handling of data once the Customer has enabled it. For customer-hosted deployments the provider accounts and costs are the Customer’s.

8. Fees

Fees are as quoted for the Customer’s organisation and as set out in the applicable order form, subscription or licence. Metered usage (active members, holdings, documents processed and stored, and provider calls where enabled) is visible to Customer owners inside the Service. Fees exclude taxes. Enterprise and customer-hosted enquiries submitted through the website create no payment obligation until an order is signed.

9. Availability, backups and support

For the cloud-hosted service Geometri operates the stack, takes nightly encrypted backups, tests restoration, applies security patches and provides business-hours support. For customer-hosted deployments the Customer operates the stack and is responsible for backups, restoration, patching and infrastructure; Geometri provides versioned releases, migrations with a ledger, and support under the applicable support agreement. Service-level commitments, if any, are set out in the order form.

10. Intellectual property

The Service, its software, design, documentation and trade marks (including the CapitalPrism name and prism mark) belong to Geometri or its licensors. The Customer receives a non-exclusive, non-transferable right to use the Service for its internal business during the subscription or licence term. Feedback may be used by Geometri without obligation.

11. Confidentiality

Each party will keep the other’s confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. Customer Data is the Customer’s confidential information. This obligation survives termination.

12. Warranties and disclaimers

Geometri warrants that it will provide the Service with reasonable skill and care. Except as stated in these terms or an order form, the Service is provided “as is”, and Geometri disclaims all other warranties, including fitness for a particular purpose and accuracy of any figure derived from Customer Data. The Customer acknowledges that the Service depends on the completeness and accuracy of the records its Users enter and accept.

13. Limitation of liability

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of investment value, or loss of data caused by the other party’s failure to keep backups it was responsible for; and Geometri’s total liability in any twelve-month period is limited to the fees paid by the Customer for the Service in that period.

14. Governing law and disputes

These terms are governed by the laws of the Kingdom of Bahrain. The parties will attempt to resolve any dispute in good faith between senior representatives before starting proceedings. Subject to that, the courts of the Kingdom of Bahrain have exclusive jurisdiction, unless an order form provides for arbitration or another forum.

15. Term, suspension and termination

These terms apply for as long as the Customer has a subscription or licence. Geometri may suspend access where necessary to protect the Service or other customers, or where fees are overdue after notice, and will restore access once the cause is resolved. Either party may terminate for material breach not cured within thirty days of notice. Sections 6, 10, 11, 12, 13 and 14 survive termination.

16. Changes and contact

Geometri may update these terms; material changes will be notified to Customer owners in the Service or by email at least thirty days before they take effect, and the date at the top of this page will change. Questions about these terms: ops@capitalprism.ai.
